Screening of projects at Capital Cell is done by our enthusiastic crowd of experts. Your project information will be reviewed by a growing community of scientists, researchers, university professors, mentors, entrepreneurs, business experts, VC analysts and Angel Investors. They will rate your project and decide whether it can be invested or not, but they will also be your first chance at networking and your earliest community of stakeholders, adopters and investors.

Deal Flow Management & Project Screening

Projects will first be assessed by the Crowd. The adequate technological tools will be implemented so that entrepreneurs find it easy to access Capital Cell and that our community gets the right amount of information. Teasers, two-pagers and other investor information will be generated automatically from information supplied by the entrepreneurs. This is based on: - simple, attractive forms for the essential investment pitch - secure data channels for sensible information - privacy management - data management dashboards Objective: showing 5-10 new projects per week to our community

They will rate your project and decide whether it can be invested or not, but they will also be your first chance at networking and your earliest community of stakeholders, adopters and investors.

The Life Angels Club

Our own community of investors and scientists filters and assesses projects. The members have access to all deals, whether published or not, and have first right to invest. The crowd of experts must be large, savvy and active; their number and their high-profile must also act as publicity to attract projects. Members will be divided in 3 cathegories: - Members (everyone) - Accredited investors: professional investors with verifiable track record - KOLs: high profile scientists and experts The community will be kept active through: - Internal rules - Business developer - Live events - Bonuses and shared fee structure for referrals & valuable feedback on projects

We will examine your Business Plan, analyze your patents, look at your financials, look you up in the public Registers, check your credit history, establish your freedom to operate, determine a risk rating for the project, and make sure your market research is honest and solid.

Now we get to work.

Due Diligence & Paperwork

Due diligence, risk rating and other backoffice work will be based on: - standard document checks. - standard risk scoring - agreements with 3rd parties: patents experts, etc... (already in talks with AFI Group) Senior and Board of Directors approvals will be used for projects already approved by the community and with significant lead investment. Required resources: - Legal - Financial analysis - Market analysis - IP analysis

It's that simple. If you are not able to get that very first investment, others will have a hard time trusting your project. An ideal Lead Investor is a professional investor (or group of) who has analyzed your project, knows you well, and takes a tough decision: being the first to invest. If you have this, others will follow.

To foster flexibility for lead investments, we must be able to publish deals with: - various agreement models: direct shareholders, SPVs, etc... - any type of company (SL, SA, Inc, Plc, GmbH,...) - any investor structure - any type of return: debt, royalties, equity,... For all this, Capital Cell will have to develop both improved technology and a very sophisticated legal base.

Lead investor model means a lower occurence of mediocre projects and a higher success rate, as well as less invasion of our own investor base.

Now your campaign is public

You have one or two months to make it work. Capital Cell will help you, but there's no way you will succeed without hard work - this is fundraising, and it's not easy. We will get you in front of investors, but remember: you are the one selling the campaign. So go get 'em. But of course we will help! Capital Cell will assess your campaign, give you a Due Diligence seal of approval, radically increase your visibility, and many, many other things.

If the campaign is published but is not successful,  we will only charge you a tiny admin fee

Our fees are success based: 6% of capital raised (0% on your own investors), and optionally a service fee if you want us to do all the paperwork

The platform: IT

We will redesign our propietary technological platform so it is more robust, and so it has many more features. The basic structure will be an internal CTO + a yearly budget for front-end developers, designers, UX consultants, SEO, remarketing, etc... Other significant costs will include cloud hosting and Privacy management, as well as Payment Service Providers. For PSP, we will initially use LemonWay, who provides: - Escrow services - Credit card & Bank transfer capabilities - Proof of ID / Money laundering clearance - Automatic integration with our legal terms of use - Fees below 0'5% (paid by the entrepreneur or the investor, not us!)
